Terms and Conditions for the Software Service

ESIO ApS

These terms and conditions are effective from 15-09-2026 and replace all previous versions.

1. About ESIO

ESIO ApS wants to make business planning and decision-making easier for small businesses. We offer an online solution via esio.dk, which includes a budget builder with VAT and tax estimations, as well as visual representation of the financial data for future projections.

Our software solution, additional products and services are offered exclusively to business customers.

2. General conditions

  1. When ordering services and using software from ESIO ApS (hereinafter referred to as the Supplier), the buyer (hereinafter referred to as the Customer) accepts these terms and conditions.

  2. These terms and conditions are accepted by the Customer when the Customer registers via the Supplier's website and thereby starts their customer relationship (subscription) with the Supplier. In addition, the terms and conditions can be found at any time on the Supplier's software portal, which can be accessed by all Customers.

  3. The Supplier has the right to change the terms and conditions, provided that this is communicated to the Customer at least 14 days in advance. It is the Customer's responsibility to keep up to date with the applicable terms and conditions at all times.

3. Subscription and terms

  1. The subscription starts on the date agreed upon between the Supplier and the Customer. This will typically be the same day or the day after the Customer signs up. The subscription is prepaid and the first billing period starts at the same time as the subscription starts.

  2. The invoice period usually covers a month or a year, unless otherwise agreed. Immediately after the subscription starts, the Customer will be charged the amount for the first invoice period.

  3. The Customer's subscription gives the Customer access to use the Supplier's software for the product mix agreed between the Supplier and the Customer. Product mix means, for example, the selected subscription package (Starter, StarterPlus, Pro, ProPlus, Premium, etc.), as well as additional modules.

  4. If the Customer upgrades or expands its product mix, e.g. by choosing a larger subscription package or by selecting more additional modules, the change will take effect from the agreed time. This will typically be immediately or in some cases with a 1-3 day delay if the change must be manually activated by the Supplier. When downgrading a subscription package or deselecting additional modules, the change will take effect at the next invoice period, unless otherwise agreed.

  5. Options to the Customer's product mix will be billed pro rata for the remainder of the invoice period and payment will be charged immediately or in the subsequent invoice period.

  6. The Supplier has the right to change the composition and content of the product mix, including subscription packages and additional modules, regardless of the reason for this. This may, for example, be to add or remove functions. If the Supplier removes significant functionality from the product mix, this must be done with a notice of 2 months.

  7. When expanding the subscription, individual functions, services and additional modules may be associated with separate terms and conditions that must be accepted in addition to these terms and conditions before they can be used.

4. Termination and duration of subscription

  1. The Customer may cancel their subscription at any time, but no later than 5 days before the next billing period begins. Upon cancellation, the Customer's subscription will not be renewed when the current billing period expires.

  2. There is no refund or right of cancellation for the current invoice period. That is, a subscription that has been paid cannot be refunded. For example, if a Customer pays 1 year in advance, this amount cannot be refunded, even if the Customer stops using the Supplier's services in the middle of the period.

  3. Termination must be made by written request to info@esio.dk, which will confirm the termination by e-mail. After termination, the Supplier has no further obligations towards the Customer.

  4. Upon termination of the subscription, the Customer's access to the Supplier's software ceases.

  5. The Supplier may terminate a subscription with a notice of the current invoice period + 2 months, or without notice in the event of the Customer's material breach of these terms and conditions or in the event of the Customer's bankruptcy or insolvency.

5. Scope and use of the subscription

  1. In accordance with these terms and conditions, the Customer obtains non-exclusive and time-limited access to use the Supplier's services and product mix.

  2. The Supplier's software services are made available online as "software as a service". The Customer does not acquire the Supplier's software or a copy or part thereof and does not obtain a license to run the Supplier's software, except as "software as a service".

  3. A subscription may not be transferred in whole or in part to a third party regardless of the circumstances that may apply, unless the Supplier approves this in advance in writing.

  4. The Customer is fully responsible for and liable for any third parties to whom the Customer may grant access to the Supplier's services or who use the Customer's login details.

  5. The Customer must ensure that the Supplier's services are not used in a manner that may damage the Supplier's name, reputation or goodwill, or that is in violation of legislation or other regulations.

  6. The Customer undertakes to use the Supplier's software in accordance with the intent behind the software and it is not permitted to show the software to other software companies without the Supplier's prior permission.

6. Prices and payment terms

  1. The customer can find current list prices for subscription packages and additional modules via the Supplier's website https://esio.dk or by contacting the Supplier at info@esio.dk.

  2. The supplier reserves the right to adjust prices at any time with 2 months' notice.

  3. Prices are index-adjusted by 3% annually without prior notice.

  4. All prices are stated in Danish kroner, excluding VAT, unless otherwise stated.

  5. If the invoice is not paid on time, the Customer's account will be blocked after 8 days.

  6. The subscription remains active until the Customer or the Supplier terminates the subscription, cf. these terms and conditions, or until the Customer has unpaid invoices for 5 invoice periods. This means that the Supplier will continue to invoice through these invoice periods.

  7. The Customer accepts that invoices and reminders sent by email to the Customer's email address shall be deemed delivered when they are sent by the Supplier.

  8. The Customer agrees and undertakes that invoices will be paid using automatic card payment on a payment card that the Customer registers. The Customer may withdraw consent and stop future payments at any time, cf. the following points.

  9. If the Customer wishes to stop a payment that is in progress, the Customer must send an email with the subject line "Stop next payment" to info@esio.dk no later than 5 days before the automatic payment is due to take place.

  10. If the Customer's current payment card expires, is blocked or otherwise stops working, the Customer is obliged to contact the Supplier in order to update the card information and/or update the card information themselves. The Customer can update card information via the software portal or by contacting the Supplier.

  11. If the Customer does not register a valid payment card, this is considered a breach of this agreement, after which the Supplier is entitled to terminate the subscription.

  1. Ownership of Customer Data - The Customer retains all rights to data entered into, uploaded to, imported into, or otherwise made available through the Supplier’s Software (“Customer Data”).

  7. In the event of a breakdown or disruption, the Supplier will use reasonable efforts to restore normal operation as soon as reasonably practicable.

  8. The Customer acknowledges that the Software is a budgeting, reporting, and financial simulation tool intended to assist the Customer in making informed business and financial decisions. 2. There is no transfer of intellectual property rights to the Customer.

  3. All material available on the Supplier's website and software belongs to The Supplier. This applies to designs, logos, texts, functionality and overall impression. If the Customer wishes to quote or otherwise mention the Supplier, the Customer must obtain prior written permission from the Supplier.

  4. All data and information provided by the Supplier's software, with the exception of Customer data, belongs to the Supplier and may be retained as long as it is in accordance with applicable law.

  5. The customer warrants that any material uploaded does not infringe the rights of third parties and does not contain material that may be offensive or is in violation of relevant legislation or other regulations.

10. Development, changes and updates
